These Terms of Service (the "Terms") form a binding agreement between Trivis OÜ (registry code 17531204, registered in Estonia — "Trivis", "we", "us") and the organisation or individual that registers for or uses Trivis, our cloud-based ERP and business-management platform, including the marketing site at trivis.ee, the application at login.trivis.ee, and the Trivis MCP connector for AI assistants (together, the "Service").

By creating an account, accessing, or using the Service, you agree to these Terms. If you accept these Terms on behalf of an organisation, you confirm that you are authorised to bind that organisation. If you do not agree, do not use the Service.


1 The Service

Trivis is a multi-tenant Software-as-a-Service ERP that provides accounting, invoicing, contracts, payments, fixed-asset accounting, CRM, reporting, and related business-management features, together with optional AI-assisted tools. Each customer organisation operates within its own isolated data environment.

We may add, change, improve, or remove features of the Service at any time. Where a change materially reduces core functionality you rely on, we will make reasonable efforts to give you advance notice.

2 Accounts and eligibility

  • You must provide accurate registration information and keep it up to date
  • You are responsible for all activity that occurs under your organisation's account and user logins
  • You must keep authentication credentials and API keys confidential and notify us promptly of any suspected unauthorised access
  • Administrators are responsible for managing user roles and access rights within their organisation
  • You must be legally capable of entering into a binding contract and use the Service only for lawful business purposes

3 Acceptable use

When using the Service, you agree not to:

  • Use the Service in violation of any applicable law or regulation
  • Upload or process data that you do not have the right to process
  • Attempt to gain unauthorised access to the Service, other organisations' data, or our underlying infrastructure
  • Probe, scan, or test the vulnerability of the Service without our prior written consent, or circumvent security or tenancy isolation
  • Interfere with or disrupt the integrity or performance of the Service, including through excessive automated requests
  • Resell, sublicense, or provide the Service to third parties except as expressly permitted

4 Your data and ownership

As between you and Trivis, you own all data you and your users enter into the Service ("Customer Data"). You grant us only the limited rights necessary to host, process, secure, back up, and deliver the Service to you, and to comply with the law.

  • Your Customer Data is stored in your organisation's dedicated, isolated database schema; no cross-tenant access is possible at the database level
  • We do not read, mine, sell, rent, or share your Customer Data, and we do not use it to train any AI model
  • We access Customer Data only as needed to operate, support, secure, or troubleshoot the Service, or where required by law
  • You are responsible for the accuracy, quality, and legality of your Customer Data and for having the necessary rights and consents to process it

5 AI features and the MCP connector

The Service includes optional AI features, including a built-in AI chat and a Model Context Protocol (MCP) connector that lets AI assistants act on your accounting data on your behalf.

  • AI features operate only on data within your own organisation and within the scope you authorise (for example mcp:read or mcp:write)
  • When you use the built-in AI chat, relevant data may be sent to a third-party AI provider acting as a data processor; see the Privacy Policy
  • AI output may be inaccurate or incomplete. You remain responsible for reviewing and verifying any AI-generated result before relying on or acting on it
  • You can revoke AI and MCP access at any time in Settings → AI & Integrations

6 Plans, fees, and payment

  • The Service is offered under different plans (such as free, standard, and premium) with features and usage limits described at the time of subscription
  • Certain capabilities (for example invoice sending) are metered by usage allowances or tokens that may be topped up
  • Paid fees are charged in advance for the applicable billing period and, except where required by law, are non-refundable
  • We may change pricing or plan features with reasonable advance notice; changes take effect at your next renewal
  • You are responsible for any taxes associated with your subscription, other than taxes based on our net income

7 Availability and support

We aim to keep the Service available and reliable, but it is provided on an "as available" basis. The Service may be temporarily unavailable for maintenance, updates, or factors beyond our reasonable control. Unless a separate written service-level agreement applies, we do not guarantee any specific level of uptime.

8 No professional advice

Trivis is a software tool. The Service, including any AI-generated output, does not constitute accounting, legal, tax, or other professional advice. You are responsible for ensuring that your records, filings, and business decisions comply with applicable law, and you should consult a qualified professional where appropriate.

9 Backups and your responsibilities

We maintain backups of the Service as part of normal operations. Nonetheless, you are responsible for verifying your data and for maintaining your own copies of records that are critical to your business. You can export your data from the Service in standard formats at any time while your account is active.

10 Intellectual property

The Service, including its software, design, and content (excluding Customer Data), is owned by Trivis OÜ and its licensors and is protected by intellectual-property laws. We grant you a non-exclusive, non-transferable, revocable right to use the Service during your subscription, subject to these Terms. You may not copy, modify, decompile, or reverse-engineer the Service except to the extent permitted by mandatory law.

11 Security

We apply industry-recognised technical and organisational measures to protect the Service and your data, including per-organisation schema isolation, encryption of traffic in transit (TLS), hashing of secrets, short-lived signed tokens, and immutable, cryptographically chained audit logs. No system is completely secure, and you share responsibility by keeping your credentials safe and your access rights appropriate.

12 Suspension and termination

  • You may stop using the Service and close your account at any time
  • We may suspend or terminate access if you materially breach these Terms, fail to pay fees when due, or use the Service in a way that risks harm to the Service or others
  • On termination, your right to use the Service ends. We will make your Customer Data available for export for a reasonable period, after which it may be deleted, subject to statutory retention obligations
  • Accounting records may be subject to a statutory retention period under Estonian law (generally 7 years)

13 Disclaimers and limitation of liability

To the maximum extent permitted by law, the Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

To the maximum extent permitted by law, Trivis OÜ shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill. Our total aggregate liability arising out of or relating to the Service shall not exceed the amount you paid us for the Service during the twelve (12) months preceding the event giving rise to the claim. Nothing in these Terms limits liability that cannot be limited under applicable law.

14 Indemnification

You agree to indemnify and hold Trivis OÜ harmless from claims, damages, and reasonable costs arising out of your Customer Data, your use of the Service in breach of these Terms, or your violation of applicable law or the rights of a third party.

15 Changes to these Terms

We may update these Terms from time to time. Material changes will be communicated by email to account holders or by a notice in the Trivis application. The effective date at the top of this page reflects the latest revision. Your continued use of the Service after a change takes effect constitutes acceptance of the updated Terms.

16 Governing law and disputes

These Terms are governed by the laws of the Republic of Estonia, without regard to conflict-of-law rules. Any dispute that cannot be resolved amicably shall be submitted to the Harju County Court (Harju Maakohus), Estonia. Mandatory consumer-protection rights, where applicable, remain unaffected.
